1. Agreement to Terms

Welcome to Aecura. These Terms and Conditions ("Terms") constitute a legally binding agreement between you ("you" or "User") and Core Apps Pty Ltd ACN 621 986 589 trading as Aecura ("we", "us", or "our"), an Australian company incorporated in Queensland, governing your access to and use of the Aecura platform, including our website, applications, and related services (collectively, the "Service").

By accessing or using the Service, you acknowledge that you have read, understood, and agree to be bound by these Terms. If you do not agree to these Terms, you must not access or use the Service.

We reserve the right to modify these Terms at any time. We will notify you of material changes by posting the updated Terms on the Service with a new effective date and, where practicable, by email notification to registered Users. Your continued use of the Service after such changes constitutes your acceptance of the revised Terms.

2. Description of Service

Aecura is a collection management platform designed for science fiction and fantasy collectors. The Service enables Users to catalogue, track, value, and manage their collectible items, including but not limited to starships, figurines, LEGO sets, and other memorabilia.

Key features of the Service include: collection cataloguing and organisation, market pricing intelligence and portfolio valuation, public exhibit functionality, achievement systems, and community features.

3. Eligibility

To use the Service, you must be at least 18 years of age, or the age of majority in your jurisdiction if higher. By using the Service, you represent and warrant that you meet these eligibility requirements.

If we become aware that a User does not meet these eligibility requirements, we reserve the right to suspend or terminate that account without notice.

If you are using the Service on behalf of an organisation, you represent and warrant that you have the authority to bind that organisation to these Terms.

4. Account Registration and Security

To access certain features of the Service, you must create an account. When registering, you agree to:

  • Provide accurate, current, and complete information
  • Maintain and promptly update your account information
  • Maintain the security of your password and accept all risks of unauthorised access
  • Notify us immediately of any unauthorised use of your account
  • Accept responsibility for all activities that occur under your account

Free accounts use email addresses as usernames. Paid subscription accounts may select vanity usernames, subject to availability and our acceptable use guidelines.

We reserve the right to suspend or terminate accounts that violate these Terms or remain inactive for extended periods, with notice where reasonably practicable.

5. Subscription Plans and Payment

5.1 Available Plans

Aecura offers the following subscription tiers:

  • Free tier: Limited features
  • Collector tier: Paid subscription with enhanced features

Current pricing and feature details are available on our website. We reserve the right to modify pricing for future subscription periods. We will provide existing subscribers with at least 30 days' written notice of any price increase before it takes effect. Continued use of the Service after the effective date of a price change constitutes acceptance of the new pricing.

5.2 Payment Processing

Payments are processed through our third-party payment processor, Paddle (Paddle.com Market Limited and its affiliates). By subscribing to a paid plan, you agree to Paddle's terms of service in addition to these Terms. Paddle acts as the Merchant of Record and handles all payment processing, invoicing, and tax compliance on our behalf. All transactions are subject to Paddle's terms and privacy policy.

5.3 Billing and Renewal

Subscriptions are billed in advance on a recurring basis (monthly or annually, as selected). Subscriptions automatically renew unless cancelled before the renewal date. You may cancel your subscription at any time through your account settings. Cancellation takes effect at the end of the current billing period, and you will retain access to paid features until that date.

5.4 Refunds

We offer a 14-day refund window. You may request a full refund within 14 days of your payment by contacting us at support@aecura.app. Refunds are issued to your original payment method. These rights are in addition to, and do not limit, any rights you have under the Australian Consumer Law (ACL).

6. User Content and Data

6.1 Your Content

You retain ownership of all content you submit to the Service, including collection data, images, descriptions, and other materials ("User Content"). By submitting User Content, you grant us a non-exclusive, worldwide, royalty-free licence to use, store, display, and process your User Content solely to provide and improve the Service.

6.2 Public Exhibits

If you choose to make your collection or exhibits public, you understand that this content will be visible to other Users and potentially the general public. You are solely responsible for any User Content you make public and for ensuring it does not infringe the rights of any third party.

6.3 Data Accuracy

While we strive to provide accurate market pricing and collection data, we do not guarantee the accuracy, completeness, or reliability of any data provided through the Service. Collection valuations are estimates only and should not be relied upon for insurance, sale, or investment decisions without independent verification.

7. Privacy and Data Protection

We collect, use, and disclose personal information in accordance with the Privacy Act 1988 (Cth) and the Australian Privacy Principles (APPs). Our Privacy Policy, available at https://www.aecura.app/privacy, explains how we handle your personal information, including what we collect, how we use it, and your rights of access and correction.

By using the Service, you consent to the collection and use of your personal information as described in our Privacy Policy.

8. Acceptable Use

You agree not to use the Service to:

  • Violate any applicable laws or regulations
  • Infringe upon the intellectual property rights of others
  • Upload malicious code, viruses, or harmful content
  • Harass, abuse, or harm other Users
  • Attempt to gain unauthorised access to the Service or related systems
  • Use automated systems to access the Service without our express written permission
  • Misrepresent your identity or affiliation
  • Engage in any activity that interferes with or disrupts the Service

We reserve the right to investigate and take appropriate action against anyone who violates these provisions, including removing content, suspending or terminating accounts, and reporting to law enforcement authorities.

9. Intellectual Property

9.1 Our Intellectual Property

The Service, including its original content, features, functionality, design, and branding, is owned by Core Apps Pty Ltd and is protected by Australian and international copyright, trademark, and other intellectual property laws. You may not copy, modify, distribute, sell, or lease any part of the Service without our prior written consent.

9.2 Third-Party Content

The Service may display information about collectible items, including names, images, and descriptions that are the intellectual property of third parties (including data sourced via third-party APIs such as eBay). Such content is used for informational and reference purposes under applicable terms and licences. We do not claim ownership of third-party intellectual property, and we do not warrant the accuracy or completeness of such content.

9.3 Feedback

If you provide us with feedback, suggestions, or ideas about the Service, you grant us a perpetual, irrevocable, royalty-free licence to use such feedback without restriction or compensation to you.

10. Third-Party Services and Links

The Service may integrate with or contain links to third-party services, including eBay for market pricing data. We do not control and are not responsible for third-party services. Your use of third-party services is at your own risk and subject to their respective terms and conditions.

11. Representations and Warranties

11.1 Our Warranties

We warrant that we will provide the Service with reasonable care and skill. To the maximum extent permitted by law, the Service is otherwise provided on an "as is" and "as available" basis without warranties of any kind, whether express or implied, including but not limited to implied warranties of merchantability, fitness for a particular purpose, and non-infringement.

We do not warrant that the Service will be uninterrupted, secure, or error-free, that defects will be corrected, or that the Service is free of viruses or other harmful components.

11.2 Your Warranties

By using the Service, you represent and warrant that:

  • You have the legal capacity to enter into these Terms
  • All information you provide is accurate and not misleading
  • Your User Content does not infringe the rights of any third party
  • Your use of the Service complies with all applicable laws

11.3 Australian Consumer Law

Nothing in these Terms excludes, restricts, or modifies any consumer rights under the Australian Consumer Law that cannot be excluded, restricted, or modified by agreement. Where the ACL implies guarantees into these Terms that cannot be excluded, our liability for a failure to comply with such a guarantee is limited, to the extent permitted by law, to resupply of the Service or payment of the cost of having the Service resupplied.

12. Limitation of Liability

To the maximum extent permitted by applicable law, in no event shall Aecura, its directors, employees, partners, agents, or affiliates be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, data, use, goodwill, or other intangible losses, resulting from:

  • Your access to or use of (or inability to access or use) the Service
  • Any conduct or content of any third party on the Service
  • Any content obtained from the Service
  • Unauthorised access, use, or alteration of your transmissions or content

Our total liability for any claims arising from or relating to these Terms or the Service shall not exceed the amount you paid us in the twelve (12) months preceding the claim, or AUD $100, whichever is greater.

13. Indemnification

You agree to indemnify, defend, and hold harmless Aecura and its officers, directors, employees, agents, and affiliates from and against any claims, liabilities, damages, losses, costs, or expenses (including reasonable legal fees) arising out of or relating to your use of the Service, your User Content, your violation of these Terms, or your violation of any rights of another party.

14. Termination

14.1 Termination by You

You may terminate your account at any time by contacting us or using the account deletion feature in your settings. Upon termination, your right to use the Service will immediately cease.

14.2 Termination by Us

We may suspend or terminate your account and access to the Service where we reasonably believe you have violated these Terms, engaged in conduct harmful to other Users or the Service, or for any other legitimate operational reason. Where reasonably practicable, we will provide you with notice and an opportunity to remedy the breach before termination.

14.3 Effect of Termination

Upon termination, your licence to use the Service terminates. We will retain your personal information only for as long as required by law or our legitimate business purposes, after which it will be destroyed or de-identified in accordance with the Privacy Act 1988 (Cth). You may request deletion of your User Content by contacting us at support@aecura.app. Provisions of these Terms that by their nature should survive termination shall survive, including ownership provisions, warranty disclaimers, indemnification, and limitations of liability.

15. Governing Law and Dispute Resolution

15.1 Governing Law

These Terms shall be governed by and construed in accordance with the laws of Queensland, Australia.

15.2 Dispute Resolution

Any dispute arising out of or relating to these Terms or the Service shall first be attempted to be resolved through good faith negotiation between the parties. If the dispute cannot be resolved through negotiation within thirty (30) days, either party may pursue resolution through the courts of Queensland, Australia, which shall have exclusive jurisdiction.

16. General Provisions

16.1 Entire Agreement

These Terms, together with our Privacy Policy, constitute the entire agreement between you and Core Apps Pty Ltd regarding the Service and supersede all prior agreements and understandings.

16.2 Severability

If any provision of these Terms is found to be unenforceable or invalid, that provision shall be limited or eliminated to the minimum extent necessary, and the remaining provisions shall remain in full force and effect.

16.3 Waiver

Our failure to enforce any right or provision of these Terms shall not be deemed a waiver of such right or provision.

16.4 Assignment

You may not assign or transfer these Terms or your rights under them without our prior written consent. Core Apps Pty Ltd may assign these Terms without restriction.

16.5 Force Majeure

We shall not be liable for any failure or delay in performing our obligations due to circumstances beyond our reasonable control, including natural disasters, war, terrorism, civil unrest, acts of government authorities, fire, floods, accidents, strikes, or shortages of transportation, facilities, fuel, energy, labour, or materials.
